These Terms govern your access to and use of Keply (the "Service"). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
Keply is an AI-assisted customer-success platform. It ingests data you connect, computes health scores and risk signals, and drafts outreach. AI outputs are suggestions, not advice; a human controls the autonomy dial, and actions that contact your customers default to requiring your approval.
You retain ownership of the data you connect. You grant Keply a limited license to process it to provide the Service. You are responsible for having the rights and lawful basis to connect and process that data, including any personal data of your customers.
Do not use the Service to violate law, infringe rights, send unlawful or unsolicited communications, or attempt to disrupt or reverse-engineer the Service.
Drafts, scores, and summaries are generated by automated systems and may be inaccurate or incomplete. You are responsible for reviewing any content before it is sent or acted upon.
Paid plans are billed as described at sign-up. A free trial, where offered, converts to a paid plan unless cancelled before it ends. Fees are non-refundable except where required by law or expressly stated.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that scores or predictions are accurate or that the Service will be uninterrupted or error-free.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEPLY AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You will defend and indemnify Keply against claims arising from your data, your use of the Service, or your breach of these Terms.
You may stop using the Service at any time. We may suspend or terminate access for breach or to comply with law. On termination, your right to use the Service ends.
